Registration Agreement for the Joint Talent Pool

Between

the-models GmbH, Kreuzstr. 34, 33602 Bielefeld, represented by its management,

and

the hostess GmbH, Kreuzstr. 34, 33602 Bielefeld, represented by its management,

– hereinafter jointly referred to as the “Pool Companies” –

and

the registered talent
– hereinafter referred to as the “Talent” –

the following registration agreement is concluded:

§ 1 Subject Matter of the Agreement

(1) The subject matter of this agreement is the inclusion of the Talent in the joint talent pool operated by the Pool Companies for the following areas:

a) hostesses / promotion / event staff,
b) models / performers,
c) moderation.

(2) The talent pool serves the internal management of talent profiles, the public presentation of suitable Talents on the websites and other marketing channels of the Pool Companies, and contact regarding specific job, casting, project and booking enquiries.

(3) The Talent is registered for the activity categories listed in paragraph 1. The Pool Companies are entitled to present the Talent’s profile within the scope of these categories and the specific profile on one or both websites (the-models.de and the-hostess.de) and in other marketing channels of the Pool Companies, provided this is objectively appropriate for marketing the Talent.

(4) The Talent has no entitlement to specific or regular enquiries, placements, bookings, publications or any particular placement.

(5) The Talent is not obliged to accept individual enquiries or bookings.

§ 2 Conclusion of Registration

(1) Registration takes place via one of the websites operated by the Pool Companies or via another registration process provided by the Pool Companies.

(2) The agreement is only concluded once the registration has been confirmed by one of the Pool Companies or the Talent’s profile has been activated for the talent pool.

(3) The Pool Companies are entitled to reject registrations without stating reasons or to deactivate profiles that have already been activated, in particular in the event of:
incomplete or incorrect information,
missing rights to uploaded content,
breaches of this agreement,
lack of suitability or marketability of the profile,
unlawful content or content harmful to minors.

§ 3 Registration Requirements and Information Provided by the Talent

(1) The Talent confirms that all information provided during registration is complete, accurate and up to date.

(2) The Talent is obliged to update any changes to their data, availability, qualifications and any significant changes in appearance in their profile without undue delay or to notify the Pool Companies accordingly.

(3) Registration is only permitted for natural persons who are of legal age and have full legal capacity. If, in the context of later bookings, the Talent wishes or is required to rely on entrepreneurial, freelance or other self-employed activity, the Talent must provide the required information and evidence upon request by the respective Pool Company making the enquiry or by the respective client.

(4) The Pool Companies are entitled to request information and evidence regarding identity, qualifications, availability for contact, tax status and professional availability, insofar as this is necessary for the operation of the talent pool or for specific enquiries.

§ 4 Services of the Pool Companies

(1) The Pool Companies maintain a profile for the Talent in their joint talent pool.

(2) The services of the Pool Companies include in particular:

a) creation, maintenance and updating of a talent profile,
b) internal assignment of the Talent to suitable categories, search filters and marketing areas,
c) public presentation of the Talent on the websites of the Pool Companies and on other marketing channels used by them,
d) contact regarding specific job, casting, assignment and booking enquiries,
e) forwarding profile information to interested clients in the context of specific business enquiries,
f) administration and maintenance of the account and communication with the Talent.

(3) The Talent’s personal contact details do not have to be disclosed in the publicly visible profile. The Pool Companies are entitled to limit public profile information to details relevant for placement and marketing purposes.

§ 5 Public Presentation and Rights of Use in Profile Content

(1) The Talent grants both Pool Companies the non-exclusive, royalty-free, geographically unrestricted right to store, structure, technically process, reproduce, make publicly accessible, distribute and use, for the purposes of the talent pool and the marketing of the Talent, the data, texts, photographs, video and audio content and other profile content provided by the Talent during registration or at a later date.

(2) The above right includes in particular use:
on the websites of the Pool Companies,
in search and profile views, sedcards and exposés,
in presentations to potential clients,
in e-mail enquiries, pitch documents and booking proposals,
on the social media channels of the Pool Companies, insofar as the Talent or profile is presented there for marketing purposes.

(3) The Talent declares that they are entitled to grant the above rights. The Talent ensures that the use of the provided content does not infringe any third-party rights, in particular copyright, neighbouring rights, trademark rights, design rights or personality rights.

(4) The Pool Companies are entitled to technically or visually adapt the provided content, in particular to crop it, resize it, tag it or combine it with profile information, provided this does not distort the overall impression of the Talent.

(5) The Talent has no separate claim to remuneration for the use of their profile content within the scope of this registration agreement.

§ 6 Representations and Indemnification

(1) The Talent represents that the uploaded or provided content is current and accurately reflects the Talent’s present appearance, insofar as the content is used for public or internal presentation.

(2) The Talent shall indemnify the Pool Companies against all third-party claims resulting from a culpable infringement of third-party rights caused by content or information provided by the Talent. The indemnification also includes the necessary costs of reasonable legal defence.

§ 7 Use of the Talent Pool and Contact

(1) Both Pool Companies are entitled to contact the Talent on the basis of their profile regarding suitable enquiries, projects, castings, assignments and bookings.

(2) By registering in the joint talent pool, the Talent agrees that both Pool Companies may use the information stored in the Talent’s profile for such contact and for initiating specific assignments.

(3) Specific bookings, assignments and contractual relationships are not created by this registration agreement alone. For specific enquiries and bookings, the framework agreements, booking terms and individual agreements provided by the respective Pool Company making the enquiry shall apply in addition.

(4) Where a specific assignment is initiated or arranged by one Pool Company, the further contract-related handling of that specific assignment shall be governed by the agreements concluded with that Pool Company and/or the respective client.

§ 8 Talent’s Obligations Regarding Account Use

(1) The Talent is obliged to keep access credentials confidential and to protect them against access by unauthorised third parties.

(2) The Talent shall notify the Pool Companies without undue delay if there are indications that unauthorised access to the account has occurred.

(3) The Talent may not upload or submit any unlawful, misleading, discriminatory, harmful-to-minors or otherwise contractually non-compliant content to the talent pool.

§ 9 Term and Termination

(1) This agreement is concluded for an indefinite period.

(2) The Talent may terminate the agreement at any time in text form or request the deletion or deactivation of their profile. Statutory retention obligations and further storage remain unaffected where such storage is necessary for the handling of contractual relationships already initiated or existing, or for the establishment, exercise or defence of legal claims.

(3) The Pool Companies may terminate the agreement at any time in text form or deactivate the profile. The right to extraordinary termination remains unaffected.

(4) Upon termination becoming effective, the Talent’s public profile will generally be taken offline. Ongoing or bindingly initiated specific bookings remain unaffected by the termination of this registration agreement and shall be governed by the relevant individual and framework agreements.

§ 10 Liability

(1) The Pool Companies shall be liable in accordance with statutory provisions for intent and gross negligence, as well as in the event of injury to life, body or health.

(2) In all other cases, the Pool Companies shall only be liable for slight negligence in the event of a breach of material contractual obligations and limited to the damage typically foreseeable under the agreement.

(3) The Pool Companies shall not be liable for unauthorised third-party access to the Talent’s account unless they are responsible for such access.

§ 11 Data Protection

(1) The Pool Companies process the Talent’s personal data in connection with the joint talent pool as joint controllers.

(2) Details of data processing, in particular regarding purposes, legal bases, recipients, storage periods and data subject rights, are set out in the privacy information for the joint talent pool.

(3) For specific bookings and subsequent contract handling, the privacy information and contractual terms of the respective Pool Company making the enquiry shall apply in addition.

§ 12 Final Provisions

(1) German law shall apply.

(2) Amendments and additions to this agreement must be made in text form.

(3) Should individual provisions of this agreement be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
